Fujitsu Launchpad Terms of Service

Welcome to Launchpad. We’re glad you’re here, and we hope you enjoy everything we have to offer.
Please read these Terms of Service and any applicable additional Service-specific terms (“Terms”) carefully because they are a binding agreement between you and Fujitsu Launchpad Limited. (“Launchpad” or “we”).
These Terms govern your use of any software application or services that link to these Terms. In these Terms, the word “Service” refers to each of these software applications or services offered by us or the services offered by such software applications. Please note that we offer many software applications and services, and these Terms apply to all of them. You acknowledged that you agree to these Terms and to our Privacy Policy when you first signed up for or apply to use our Service. Subject to your compliance with these Terms, we hereby grant you a non-exclusive, non-transferable right to access and use our Service, until you stop using a Service or, if you are using a subscription-based Service, for the term of your subscription.
If you have received access to our Service through your organization, or if you are using our Service as part of an organization, an authorized representative of that organization must agree to these Terms and Privacy Policy. In such a case, your use of our Service may also be governed by a separate agreement between the Service and your organization that provides for payment and other terms that are not covered here. To be eligible to use our Service, you must ensure that you have complied with the terms of the separate agreement. If you have entered into a separate agreement with the Service on behalf of your organization, you are responsible for ensuring that your users comply with the applicable terms of that agreement.
You agree to treat all confidential, non-public information we provide to you as part of our Service as confidential, not disclose it to third parties, and use our information only for the purpose of using our Services. Any personal information that you supply to us or upload to our Service during the course of using the Service will be handled in accordance with our Privacy Policy.
Service-Specific Additional Terms and Policies
In addition to these Terms, additional terms and policies apply to some of our Services and you must agree to these additional terms and policies in order to use these Services. Next to each Service listed below, we include a link to additional terms and policies that apply to that particular Service (which may, for example, include things like additional age requirements or subscription requirements). Please read these carefully.
Changes to our Services
We are constantly launching new applications and services or adding new technologies and features to improve our existing Services. As part of this continual improvement, we sometimes add or remove features and functionalities, increase or decrease limits to our Services, and start offering new Services or stop offering old ones.
If we make material changes that negatively impact your use of our Services or if we stop offering a Service, we’ll provide you with reasonable advance notice, except in urgent situations such as preventing abuse, responding to legal requirements, or addressing security and operability issues.
Your Account
Some of our Services may require you to create an account before you can use the Service. To create an account, you must provide truthful and accurate information about yourself. Don’t try to impersonate anyone else when you create your account. If your information changes at any time, please update your account to reflect those changes. If you need help, please contact Launchpad to request disclosure, correction, addition, or deletion of the personal information that we have on file for you. Please see our Privacy Policy for more information about how we use your personal information.
You are responsible for the use and management of your account login information. In order to protect the security of your account and other users of our Services, do not share your account login with other people or allow other people to log into your account. You accept responsibility for all activities that occur under your account or from your computer and mobile devices and acknowledge that such activities will be deemed to be taken by you. We are not responsible for the management of your account and we will not be responsible for any damage caused to your account or losses suffered by you due to theft, loss or leakage of your account login information unless such theft, loss or leakage was caused by our intentional or negligent acts. You agree to immediately notify us of any unauthorized use of your account login information or any other security breach that you become aware of.
In some cases, an account may be assigned to you by an administrator or representative of your organization. If you are using or logging into an account assigned to you by your organization, additional terms may apply to your use of the Service. Moreover, your organization may limit certain features of the Service or may be able to access or disable your account without our involvement.
While we endeavor to use reasonable security measures to protect against unauthorized access to your account, we cannot guarantee absolute security to your account, your profile or the content and personal information you provide. We cannot promise that our security measures will prevent unauthorized parties from illegally accessing the Services or any of the content on the Services.
Disruptions, Modifications and Termination
We reserve the right to modify our Services at any time, with or without notice to you, so be sure to check back regularly. For example, we may add or remove functionality or features, and we may suspend or terminate a particular feature or Service altogether. We also reserve the right to charge a fee or increase the fees charged for any of our features or Services at any time. If you don’t like any of the changes, you can stop using our Services or delete your account at any time. If you received access to a Service through your organization or are using an account assigned to you by your organization, your organization may cancel the access or subscription if your organization does not agree to our changes.
In order to implement modifications or updates, or to maintain our systems, we may need to temporarily suspend a Service or a portion of it. We will try to provide you with reasonable advance notice of schedule updates or maintenance, but we cannot guarantee that you will always receive notice prior to suspension or disruption, especially in the event of emergency maintenance. Further, you may experience sudden disruption or suspension of access to the Services due to events beyond our control such as natural disasters, weather events, system or equipment failures, or acts attributable to third parties, including hacking, DDoS attacks, and other types of cyber attacks. When this happens, we will try our best to recover our systems as soon as possible but we do not guarantee that you will have a certain level of access to our Services. You agree that we will not be liable to you or any third party for any disruption or suspension of our Services or for any modification or discontinuance of a feature or Service.
Your Use of Our Services
You must use our Services in compliance with these Terms, and you may not use the Services in a way that violates any laws, infringes on anyone’s rights, is offensive, or interferes with the Services or any features on the Services (including any technological measures we employ to enforce these Terms). You also may not copy or modify any Services, license or transfer our Services to anyone else (unless we have agreed), reverse engineer our Services, or remove any proprietary notices from our Services.
Our goal is to maintain a respectful environment for all our users, and we expect you to follow some basic rules of conduct when using our Services.
- You must comply with all applicable laws and regulations.
- You must respect the rights of others, including privacy rights and intellectual property rights (including patent rights, trademark rights and copyrights).
- You must not use the Services to, or encourage others to, commit acts that would violate any laws or regulations or engage in harmful behavior such as harassment or bullying.
- You must not harm, interfere with, or disrupt the Services or the use of the Services by other users, or attempt to do so.
- You must not provide false information to us, such as using false information in creating your profile or account.
- You must not make unauthorized use of credit cards.
- You must not post any content that:
- breaches laws or regulations;
- includes Personal Information (defined in the Privacy Policy) of others;
- infringes on our or a third party’s rights, including privacy rights and intellectual property rights (including patent rights, trademark rights and copyrights);
- defames or slander us or other third parties; or
- includes computer viruses and other harmful computer programs.
- You must not attempt to make any duplication, modification, reproduction, reprinting, alteration, modification, reverse engineering, disassembly, decompilation, translation, or analysis of the functions provided by the Services.
- You must not engage in any activities that we may reasonably prohibit or reasonably determine as inappropriate.
If we discover that you have violated any of the rules listed above, we reserve the right to terminate your account, prohibit you from using the Services, and take appropriate legal actions. By using our Services, you agree that we may share information, including personal information with law enforcement, public or governmental agencies, or with private parties, within or outside of your country of residence, to address any issues of national security or of public importance, to prevent or detect fraud, security or technical issues or violations of these Term, or to address any abuse of our Services of their users.
Using our Services does not give you ownership of any intellectual property rights to the content you access. We retain all intellectual property rights we have in our Services, including rights to any logo/branding, source codes, or design features. You may not use content from our Services unless you obtain permission from us. Further, some of our Services may give you access to or expose you to content belonging to other people or organizations. For example, other users of our Services may upload their pictures or videos or share content in their posts. You may not use such content without the permission of that person or organization.
The Services may contain links to third-party websites or contents. For example, some Services may contain links to third-party sites that provide map and direction services or allow users to integrate their social media accounts. That doesn’t mean that we control or endorse those websites, or any goods or services sold on those websites and any views expressed in such content are solely those of that person or organization and do not necessarily reflect our views. Further, we cannot guarantee the security integrity of these third-party websites or contents. Some of our Services allow users to create posts or interact with each other. You should always be careful when you click on links found on other users’ posts or that are shared by other users.
When you use a Service or send communications to us through a Service, you are communicating with us electronically. You consent to receive electronically any communications related to your use of a Service. We may communicate with you by email or by posting notices on the Service. You agree that all agreements, notices, disclosures and other communications that are provided to you electronically in connection with our Services satisfy any legal requirement that such communications be in writing. All notices from us intended for receipt by you shall be deemed delivered and effective when sent to the email address you provide to us or made available to your account. Please note that by creating a user account or otherwise providing us with your email address, postal address or phone number, you are agreeing that we or our agents may contact you at that address or number in a manner consistent with our Privacy Policy.
Permission to Use Your Content
Some of our Services are designed to let you share your content. You have no obligation to provide any content to our Services and you’re free to choose the content that you want to provide. You may only upload or share content if you have the necessary rights to do so and if the content is lawful. For example, you may have intellectual property rights in creative content that you make or you may have the right to share someone else’s creative content if they give you their permission.
By providing content to our Services, you agree to grant us a non-exclusive, worldwide, non-exclusive and royalty-free right to use your content. We will only use your content for the purposes of operating or improving our Services, for promoting our Services and for developing new features and services. This includes hosting, reproducing, distributing, communicating, and using your content, for example, we may save your content on our systems and make it accessible to you from multiple devices. We may also sublicense these rights to our service providers for the limited purpose of helping us achieve our purposes set out in this paragraph.
Our Warranties and Disclaimers
We provide our Services using a commercially reasonable level of care and promise to do our best to make sure you enjoy the Services. But there are certain things that we don’t promise about our Services.
OTHER THAN AS EXPRESSLY SET OUT IN THESE TERMS OF SERVICE, NEITHER FUJITSU LAUNCHPAD LIMITED NOR ITS AFFILIATES, AGENTS OR SERVICE PROVIDERS (THE “SERVICES ENTITIES”) MAKE ANY SPECIFIC PROMISES ABOUT THE SERVICES. FOR EXAMPLE, WE DON’T MAKE ANY GUARANTEES ABOUT THE CONTENT WITHIN THE SERVICES, THE SPECIFIC FUNCTION OF THE SERVICES, OR THEIR RELIABILITY, AVAILABILITY, OPERATION WITHOUT INTERRUPTION, COMPATIBILITY WITH OTHER SOFTWARE OR SYSTEMS, SECURITY, ACCURACY OR ABILITY TO MEET YOUR NEEDS. WE PROVIDE THE SERVICES “AS IS”.
WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, AND SPECIFICALLY DISCLAIM ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Liability for our Services
TO THE EXTENT NOT PROHIBITED BY THE JAPANESE CONSUMER CONTRACT ACT OR OTHER LAWS, NEITHER LAUNCHPAD NOR THE SERVICES ENTITIES SHALL BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF THE SERVICES OR ANY THIRD PARTY’S USE OF THE SERVICES. THESE EXCLUSIONS INCLUDE, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, LOST OF OPPORTUNITIES OR GOODWILL, LOST DATA, COMPUTER FAILURE, OR THE VIOLATION OF YOUR RIGHTS BY ANY THIRD PARTY, EVEN IF THE SERVICES ENTITIES HAVE BEEN ADVISED OF THE POSSIBILITY THEREOF AND REGARDLESS OF THE LEGAL OR EQUITABLE THEORY UPON WHICH THE CLAIM IS BASED.
Launchpad’s total liability arising out of or relating to these Terms is limited to US$500. If you are a consumer, the limitation set forth in the preceding sentence will only apply to the losses caused by Launchpad’s negligence (excluding gross negligence). We have no responsibility for any claim of infringement arising from any use of our Services in combination with data or technology provided by a third party, modifications to our Services that we did not make, or your data.
To the extent allowed by applicable law, you’ll indemnify Launchpad and our directors, officers, employees, and contractors for any third-party legal proceedings (including actions by government authorities) arising out of or relating to your unlawful use of the services or violation of these Terms. This indemnity covers any liability or expense arising from claims, losses, damages, judgments, fines, litigation costs, and legal fees.
Additional Details
If these Terms conflict with any Service-specific additional terms, the additional terms of that Service will govern.
If you do not comply with these Terms, and we don’t take action right away, this doesn’t mean we approve of your actions or won’t take action, or that we are giving up any rights that we may have (such as taking action in the future).
If it turns out that a particular provision in these Terms is not enforceable, that will not affect any other provision.
You may not assign any of your rights or obligations under these Terms without our consent.
Intellectual Property Rights
We may monitor your use of our Services and collect data in relation to such use that we use to improve their performance and functionality. We will own the intellectual property rights in such aggregated data, and you agree that we may use such data as permitted by applicable law, but not in a way that identifies you personally. You will of course own the intellectual property rights in your own information and creative content that you upload to our Services. If you are accessing our Service through your organization, any intellectual property rights to the data you provide to us on behalf of your organization will belong to the organization.
We reserve all rights that we do not expressly grant to you under these Terms. Except for the limited rights and licenses we expressly grant you under these Terms, nothing in these Terms grants to you or any third party any intellectual property rights or other rights in our Service and any other intellectual property we provide to you in connection with our Services, including data we collect in relation to your use of the Services that we use to improve their performance and functionality (together, “Launchpad IP”). We own all rights, titles and interests in the Launchpad IP.
Taking Action in Case of Problems
Before removing your information or suspending or terminating your access to our Services, we’ll provide you with advance notice when reasonably possible, describe the reason for our action, and give you an opportunity to fix the problem, unless we reasonably believe that doing so would:
- cause harm or liability to a user, third party, or Launchpad.
- violate the law or a legal enforcement authority’s order.
- compromise an investigation.
- compromise the operation, integrity, or security of our services.
Removing Your Content
If we reasonably believe that any of your content (1) breaches these Terms, (2) violates applicable law, or (3) could harm our users, third parties, or Launchpad, then we reserve the right to take down some or all of that content in accordance with applicable law. Examples include child pornography, content that facilitates human trafficking or harassment, and content that infringes someone else’s intellectual property rights.
Suspending or Terminating Your Access to Our Services
We reserve the right to suspend or terminate your access to the Services or delete your account if any of these happen:
- you materially or repeatedly breach these Terms.
- we are required to do so to comply with a legal requirement or a court order.
- we believe that you’re using the Services or Launchpad IP for fraudulent or illegal activities, or our provision of Services to you becomes illegal.
- we reasonably believe that your conduct causes harm or liability to a user, third party, or us, for example, by hacking, phishing, harassing, spamming, misleading others, or scraping content that doesn’t belong to you, disrupting our services, or creating a security risk.
If you believe your account has been suspended or terminated in error, you can appeal by contacting us at [insert contact email]. We will review your appeal request based on the facts and circumstances known to us and determine whether to reinstate your account. If we determine that your account should be reinstated, we’ll try to reinstate your access to the Services after the issue that caused us to suspend your use of the Services is resolved, but we are not responsible for any damage or loss to you as a result of the suspension or termination.
Of course, you can stop using our Services at any time and you can delete your account by logging into the Service you are using and following the instructions on the Service or by contacting us.
Settling disputes, governing law, and courts
Japanese law will govern all disputes, legal actions and proceedings arising out of or relating to these Terms, or any Services we provide to you under these Terms, regardless of conflict of laws rules. Any such dispute will be resolved exclusively in the courts of Tokyo, Japan, and you and Launchpad consent to personal jurisdiction in those courts.
Changes to these Terms
We reserve the right to update these Terms at any time and for any reason in our sole discretion. Any time we make changes to these Terms, we will provide you with reasonable advance notice of the revisions before the effective date of the revised Terms. The revised Terms will be posted on our website and will become effective on the effective date. By continuing to use or access a Service after these Terms have changed, you indicate your agreement to the revised Terms. If you do not agree to the modified Terms, your only recourse is to cease using the Services.
